1. Acceptance of Terms

By accessing or using the Omni Website (omni.app) and our applications (Omni Notes, Omni Preview, collectively the "Apps"), you agree to be bound by these Terms and Policy ("Terms"). If you do not agree to these Terms, please do not use our Website or Apps.

These Terms constitute a legally binding agreement between you ("User," "you," or "your") and NEXINA ("we," "our," "us," or "Company").

2. Description of Service

Omni is a suite of free, cross-platform utility applications designed to provide better everyday tools for everyone. Our current Apps include:

• Omni Notes: A local-first notes, tasks, and reminders application
• Omni Preview: A universal file previewer supporting images, videos, audio, documents, and archives

All Apps are provided completely free of charge with no paywalls, subscriptions, or premium tiers.

3. License Grant

3.1 Website Content

All content on this Website (text, graphics, logos, images, code) is owned by NEXINA or its licensors and protected by intellectual property laws. You may view and download content for personal, non-commercial use only.

3.2 Applications

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Apps for personal or commercial purposes, subject to these Terms. This license does not grant you ownership of the Apps.

3.3 Open Source Intent

We are building Omni with an open mindset and plan to release the source code under an open-source license as the project matures. Until then, the Apps are provided as free-to-use binaries.

4. User Responsibilities

You agree to:

• Use the Website and Apps only for lawful purposes
• Not reverse engineer, decompile, or disassemble the Apps (except where permitted by law)
• Not modify, distribute, or create derivative works of the Apps without permission
• Not use the Apps to transmit viruses, malware, or harmful code
• Not interfere with the security or integrity of the Website or Apps
• Not scrape, crawl, or extract data from the Website systematically

5. Feedback and Submissions

We welcome your feedback, suggestions, and ideas ("Feedback"). By submitting Feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute the Feedback for any purpose, including product improvements, without compensation or attribution to you.

We do not warrant that:

• The Website or Apps will be uninterrupted, error-free, or secure
• Defects will be corrected
• The Website or Apps are free of viruses or harmful components
• Results from using the Apps will be accurate or reliable

6.2 Early Development Stage

Omni is in early stages of development. Features may change, be removed, or behave unexpectedly. We are actively seeking user feedback to shape the direction of our Apps. We prioritize core features and cross-platform compatibility first.

6.3 Third-Party Platforms

Apps distributed through Microsoft Store, Google Play Store, and Snap Store are subject to those platforms' terms of service. We are not responsible for any issues arising from platform-specific distribution, updates, or policies.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEXINA, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of or inability to access or use the Website or Apps
• Any conduct or content of any third party on the Website or Apps
• Any content obtained from the Website or Apps
• Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claim arising from these Terms shall not exceed the amount you paid for the Apps (which is zero).

8. Indemnification

You agree to defend, indemnify, and hold harmless NEXINA and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising from:

9. Termination

We may terminate or suspend your access to the Website and Apps immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Apps ceases immediately. Provisions that should survive termination (Disclaimers, Limitation of Liability, Indemnification, Governing Law) shall survive.

We reserve the right to modify, update, or discontinue the Website and Apps at any time without notice. We may also modify these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Your continued use after changes constitutes acceptance.

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where NEXINA is established, without regard to conflict of law principles.

Any dispute arising from these Terms shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in the jurisdiction of NEXINA's establishment, conducted in English. You may also seek relief in small claims court where jurisdiction permits.

12. General Provisions

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and us.
• Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
• No Waiver: Failure to enforce a right does not waive that right.
• Assignment: We may assign these Terms; you may not assign them without our consent.
• Force Majeure: We are not liable for delays due to events beyond our control.

13. Export Compliance

You agree to comply with all applicable export control laws and regulations. You represent that you are not located in a country subject to government embargo or designated as a "terrorist supporting" country, and you are not on any prohibited party list.
